INDEPENDENT AUDITOR’S REPORTTo the Shareholders of Rheinmetall Denel Munition Proprietary LimitedReport on the Audit of the Financial StatementsOpinionWe have audited the financial statements of Rheinmetall Denel Munition Proprietary Limited set out on pages 9 to63, which comprise the statement of financial position as at 31 December 2023, and the statement of profit or lossand other comprehensive income, the statement of changes in equity and the statement of cash flows for the yearthen ended, and the notes to the financial statements, including material accounting policy information.In our opinion, the financial statements present fairly, in all material respects, the financial position of RheinmetallDenel Munition Proprietary Limited as at 31 December 2023, and its financial performance and cash flows for theyear then ended in accordance with IFRS Accounting Standards as issued by the International Accounting StandardsBoard and the requirements of the Companies Act of South Africa.Basis for OpinionWe conducted our audit in accordance with International Standards on Auditing (ISAs). DIRECTORS' RESPONSIBILITY AND APPROVALThe directors are required in terms of the Conpanies Act of South Africa, 71 of 2008 to maintainadequate accounting records and are responsible for the content and intergrity of the financialstatements and related financial information incuded in this report. It is their responsibility to ensurethat the financial statements fairly present the state of affairs of the company as at the end of thefinancial year and the results of its operations and cash flows for the period then ended, in conformitywith International Financial Reporting Standards. The external auditors are engaged to express anindependent opinion on the financial statements.The financial statements are prepared in accordance with International Financial Reporting Standardsand are based upon appropriate accounting policies consistently applied and supported by reasonableand prudent judgements and estimates.The directors acknowledge that they are ultinmately responsible for the system of internal financialcontrol established by the company and place considerable importance on maintaining a strongcontrol environment. To enable the directors to meet these reponsibilities, the board sets standards forinternal control aimed at reducing the risk of error or loss in a cost-effective manner. The standardsinclude the proper delegation of responsibilities within a clearly defined framework, effectiveaccounting procedures and adequate segregation of duties to ensure an acceptable level of risk. Thesecontrols are monitored throughout the company and all employees are required to maintain thehighest ethical standards in ensuring the company's business is conduted in a manner that in allreasonable circumstances is above reproach. The focus of risk management in the company is onidentifying, assessing, managing and monitoring all known forms of risk across the company. Whileoperating risk cannot be fully eliminated, the company endeavours to minimise it by ensuring thatappropriate infrastructure, controls, systems and ethical behaviour are applied and managed withinpredetermined procedures and constraints.The directors are of the opinion, based on the information and explantions given by management thatthe system of internal control provides reasonable assurance that the financial records may be reliedon for the preparation of the financial statements. However, any system of internal financial controlcan provide only reasonable, and not absolute, assurance against material misstatement or loss.The directors have reviewed the company's cash flow forecast for the year to 31 December 2024 and,in the light of this review and the current financial position, they are satisifed that the company has orhas access to adequate resources to continue in operational existence for the foreseeable future.Shortfall from operating activities will be funded with shareholders' loans as per the shareholders'agreement as well as overdraft facilities which were establised at Rheinmetall Denel Munition RF(Pty) Ltd's bankers.The external auditors are responsible for independently auditing and reporting on the company'sfinancial statements.
